Bu kavramlar Kanun'da maddi ve teknik işlevlere sahiptir ve teknik açıdan Kanun'un uygulama alanının tespitini sağlamaktadır. Ticaret Kanunu'nun "tacir"i tanımlayan 14. maddesi ilk bakışta sarih görülmekle beraber yakından bakıldığında daha geniş bir anlama sahip olduğu görülmektedir. Ticaret Kanunu, Türk Medeni Kanunu ile Borçlar Kanunu'na göre uygulama alanını tespit ederken kendisine ait bir sistematik (metot) yaratmıştır. Türk Ticaret Kanunu Tasarısı, şirketler topluluğu hâkimi işletmenin, tacir sayılacağını öngörmüştür. Ancak bu yenilik, tacir sıfatını kazanmanın esaslarını öngören Tasarı m. 12-14 ve 16-17'den ayrılma sonucunu doğurduğu gibi, bu tacir türünün hangi hukuki sonuçları doğuracağı da tam olarak açık değildir.The key concepts of the Turkish Commercial Code (TCC) are merchant, commercial transaction and business enterprise. The concepts have substantial and technical functions in TCC and they determine the limits of the field of application of TCC. Besides Art. 14 of the TCC that defines the merchant is prima facie coherent but actually has a large significance in meaning as a whole. The TCC has already created its own system while it determines the boundaries of its own application areas according to the Turkish Code of Civil Law and the Code of Obligations. The Draft TCC regulates a dominant enterprise in corporate groups (Art. 195 ff. of the Draft TCC) as a merchant, which is a new type of merchant in Turkish Commerce Law. However it brings a divergence from Art. 12-14 and 16-17 of the Draft TCC, which defines the principles of the merchant attributes.
